Terms & Conditions of Business | Ordinary Industries
Terms effective from February 2025
1. Our Business Terms
These terms govern our professional engagements at Ordinary Industries. We are registered in England and Wales under company number 11487239, with our registered office at 55 Temple Row, Birmingham, B2 5LS. When you request a project, whether it is a Baseline Margin Audit or a route setup, you agree to these ground rules. We believe in clear agreements. We do not write our terms in tiny font to hide hidden fees.
By accessing our website or booking an initial 25-minute diagnostics call, you confirm you accept these business terms. If you do not agree, we cannot proceed with any scoping work on your databases.
2. Safety on Your Floor
We work on site. Let's look at the actual numbers on your shop floor. To configure systems that work, our team (David, Arthur, or Sarah) must walk your warehouse deck, transport yard, or factory line. We promise to follow all your local safety standards. We will always wear high-visibility vests and safety boots where required. We respect your operational staff and will not interrupt their production runs without supervisor approval.
In return, you must provide us with a safe environment. An experienced site supervisor must accompany our consultants during our initial walk-through. If we feel a particular area presents an active hazard, we reserve the right to pause our collection work until the issue is addressed.
3. System Access & Raw Data
From clipboards to cloud databases, we clean and structure raw information. To do this, we need access to your systems. You must provide us with the necessary temporary databases, read-only login credentials, or raw CSV logs. We do not do fancy slides. We configure software that works, which requires accurate raw material entries, dispatch registers, or retail transaction files.
You guarantee that you have the full legal right to share this commercial data with us. We will treat your operational records with strict confidentiality. We do not store your databases on unsafe public drives. All integration scripts are deployed on secure local systems or private UK-based cloud infrastructure.
4. Flat-Fee Payments & Scopes
We believe in financial certainty. We quote flat, fixed-project fees before we start. For example, our Baseline Margin Audit is exactly £3,800. We do not charge for travel within the West Midlands or hidden administration. (Heads-up: any hardware we buy for your floor, like rugged tablets, is billed separately at cost, and we will get your written sign-off first).
We invoice in phases. Our standard terms require 50% upfront before we scrape your databases, and the remaining 50% within 14 business days of delivering the live dashboard. If payments are delayed by more than 30 days, we reserve the right to pause our active support services.
5. Code Ownership & Use
We do not sell software subscriptions. Once your final invoice is paid, the custom scripts, database queries, and tablet dashboards we configure belong entirely to you. You are free to edit them, transfer them to other internal servers, or train new operators to use them.
The core tools and libraries we use to build your system remain open or owned by their respective creators. You do not have the right to resell our custom scripts to competitor transport yards or factories as a standalone product. Our work is for your internal business use only.
